1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “Store Owner”), and TindahanGo Technologies, Inc. (“we,” “us,” or “our”), concerning your access to and use of the TindahanGo web portal, mobile application, and related services (collectively, the “Services”).

By signing up for an account, accessing, or using the Services, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are prohibited from using the Services and must discontinue use immediately.

2. Definitions

  • Services: The POS terminal mobile client, store management web portal, and backend server hosting provided by TindahanGo.
  • Store Owner: The primary account creator (tenant) holding administrative controls over company configurations.
  • Cashier / Manager: Secondary accounts provisioned by the Store Owner to perform daily retail checkouts and management tasks.
  • Utang Ledger: The digital record-keeping feature built into the platform to track customer lines of credit and payment events.

3. Account Creation & Security

To use the Services, you must register for an account by providing accurate, current, and complete registration data. You agree to:

  • Maintain the confidentiality of your credentials, password, and cashier PINs.
  • Ensure cashiers do not share their PIN codes or write actions with unauthorized users.
  • Notify us immediately of any unauthorized breach of security or access to your tenant databases.
  • Ensure you are legally authorized to conduct retail commerce under applicable Philippine laws (DTI, SEC, BIR registrations).

4. Subscriptions, Billing, & Trial

TindahanGo provides access on a subscription basis under the following parameters:

  • Free Trial: We offer a 14-day free trial for new store registration. No credit card or manual payment is required during trial setup.
  • Subscription Plans: Paid subscription fees (e.g., Starter or Business tiers) are billed on a recurring monthly cycle.
  • Payment Flow: We support manual hybrid payment submissions (uploads of GCash, Maya, or bank transfer receipts). All payments undergo manual administrative verification before account credit is applied.
  • Grace Period & Read-Only: If payment is not verified within 3 days after billing cycle expiration, the account will be set to a "read-only" state. Cashiers will be blocked from logging new transactions or adding products until payment is resolved.

5. Service Availability, Maintenance, & Support

We strive to maintain a high system availability (uptime) for the platform. However:

  • We do not guarantee that the Services will always be online, error-free, or uninterrupted.
  • We perform periodic software updates and database maintenance, which may cause temporary downtime. We will attempt to schedule maintenance during off-peak retail hours (e.g., 12:00 AM to 4:00 AM PHT).
  • TindahanGo is not liable for operational disruptions resulting from internet dropouts, mobile device failures, or third-party cloud hosting outages.

6. Acceptable Use & Prohibited Activities

You agree to use the Services only for legitimate retail management. Prohibited activities include:

  • Cataloging or recording sales of illegal drugs, weapons, or contraband under Philippine law.
  • Uploading fraudulent transaction receipts or duplicate GCash/Maya reference numbers to bypass subscription billing.
  • Attempting to bypass tenant isolation configurations to view or manipulate data belonging to other companies.
  • Reverse-engineering, hacking, or executing denial-of-service (DoS) attacks against our servers.

7. Limitation of Liability

To the maximum extent permitted by applicable Philippine law, TindahanGo, its directors, employees, or agents will not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost revenue, loss of data, or other damages arising from your use of the Services.

Our total liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the twelve (12) month period prior to the cause of action arising.

8. Disclaimer of Warranties

The Services are provided on an “as-is” and “as-available” basis. You agree that your use of the Services is at your sole risk. We disclaim all warranties, express or implied, in connection with the Services and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Governing Law & Dispute Resolution

These Terms of Service and your use of the Services are governed by and construed in accordance with the laws of the Republic of the Philippines.

Any legal action or dispute arising out of or in connection with these terms shall be filed exclusively before the proper courts of Makati City, Metro Manila, Philippines, to the exclusion of all other venues.
